LOWE'S MOBILE APPLICATION LICENSE AGREEMENT

  • THIS LICENSE AGREEMENT ("License Agreement") IS A LEGAL AGREEMENT BETWEEN YOU AND LOWE'S COMPANIES CANADA, ULC ("Lowe's") THAT GOVERNS YOUR USE OF THE LOWE'S MOBILE APPLICATION SOFTWARE THAT WE PROVIDE FOR USE ON YOUR MOBILE DEVICE (the "Application"). YOUR USE OF THE APPLICATION IS ALSO GOVERNED BY THE TERMS, CONDITIONS AND POLICIES AVAILABLE ON THE LOWES.CA WEBSITE, INCLUDING BUT NOT LIMITED TO THE PRIVACY STATEMENT AND TERMS AND OF USE (collectively, the "Website Terms"), AND ALL REFERENCES TO THE "LOWES.CA SITE" OR THE "SITE" IN SUCH WEBSITE TERMS ARE DEEMED TO ALSO REFER TO THE APPLICATION FOR PURPOSES OF YOUR USE OF THE APPLICATION. BY USING THE APPLICATION, YOU ACCEPT AND AGREE TO BE BOUND BY THIS LICENSE AGREEMENT AND THE WEBSITE TERMS. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT AND THE WEBSITE TERMS, YOU MAY NOT USE THE APPLICATION AND YOU MUST DELETE IT FROM YOUR MOBILE DEVICE.

  • License and Restrictions. Subject to the terms and conditions of this License Agreement and the Website Terms, Lowe's hereby grants you a limited, non-exclusive, non-transferable, non-sub-licensable license to use the Application on your mobile device, solely for shopping at or receiving other services from Lowe's or its affiliates. You will not (a) reproduce, modify, translate or create any derivative work of all or any portion of the Application, (b) sell, sublicense, rent, lease, loan, provide, distribute or otherwise transfer all or any portion of the Application to any third party, © reverse engineer, decompile, reverse assemble or otherwise attempt to gain access to the source code of all or any portion of the Application, or (d) remove, alter, or cover any copyright notices or other proprietary rights notices that are found in the Application.

  • Reservation of Rights. Lowe's reserves all rights not otherwise expressly granted in this License Agreement and no licenses are granted by implication, estoppel or otherwise. You agree that title to all portions of the Application and the copyright, patent, trade secret and all other intellectual property rights in the Application, including derivative works and all copies of the Application, are and remain the exclusive property of Lowe's, its affiliates and their licensors. You acknowledge and agree that the Application and/or certain components of it constitute confidential information and valuable trade secrets of Lowe's and its affiliates, and you promise to keep it in confidence and not disclose it to any third party.

  • Changes; Updates. You agree that Lowe's may at any time and without notice change the terms, conditions or notices under which the Application is offered. We will post any such changes on the Lowes.ca website or within the Application, and your continued use of the Application evidences your agreement to be bound by such changes. We are not required to provide updates, maintenance or support for the Application, but we may choose to do so, or to cease doing so, from time to time with or without notice. Any updates will be governed by this License Agreement and the Website Terms.

  • Applicable Laws; Exports. You will comply with all applicable laws in connection with your use of the Application. You acknowledge that the Application may be subject to U.S., Canadian or foreign export and import laws or regulations. You will comply with all applicable import, export and re-export laws and regulations of Canada, the United States or foreign agencies or authorities.

  • Termination. You agree that we may discontinue, suspend or terminate your right or ability to use all or part of the Application at any time, without notice or liability to you. You may terminate this License Agreement by ceasing use of the Application and destroying all copies in your possession or control. We may terminate this License Agreement for any or no reason, at any time without prior notice. This License Agreement will automatically terminate if you breach any of its terms or conditions. Immediately upon any termination of this License Agreement, you will cease use of the Application and destroy all copies in your possession or control. All provisions of this License Agreement regarding restrictions, Lowe's proprietary rights and confidential information, disclaimers of warranties, remedies, and limits of liability shall survive termination.

  • Warranty Disclaimer. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR THE USE OF THE APPLICATION. THE APPLICATION IS PROVIDED "AS IS" WITH ALL FAULTS AND WITHOUT WARRANTY. LOWE'S AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE APPLICATION OR THE INFORMATION, CONTENT, OR MATERIALS INCLUDED THEREIN. TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW, LOWE'S EXPRESSLY DISCLAIMS FOR ITSELF AND ON BEHALF OF APPLE, INC. ("Apple") AND EACH OF THEIR RESPECTIVE LICENSORS AND AFFILIATES AND ALL OTHER PARTIES INVOLVED IN THE DISTRIBUTION OF THE APPLICATION, ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT AND NON INFRINGEMENT. LOWE'S DOES NOT REPRESENT OR WARRANT THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS OR THAT THE APPLICATION WILL BE UNINTERRUPTED OR FREE OF ERRORS OR OTHER HARMFUL COMPONENTS. THE LAWS OF SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

  • Limit of Liability. NEITHER LOWE'S, APPLE NOR THEIR RESPECTIVE AFFILIATES WILL BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE APPLICATION, INCLUDING, BUT NOT LIMITED TO DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR DAMAGES RESULTING FROM LOSS OF USE, DATA, OR PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE APPLICATION, ANY DELAYS IN USING THE APPLICATION, OR THE INABILITY TO USE THE APPLICATION OR ANY PORTION THEREOF, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF LOWE'S, APPLE OR THEIR AFFILIATES OR LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LOWE'S SOLE OBLIGATION AND YOUR EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH THE APPLICATION OR LOWE'S BREACH OF THIS LICENSE AGREEMENT WILL BE TO STOP USING AND UNINSTALL THE APPLICATION.

  • Indemnity. You will defend, indemnify, and hold harmless Lowe's, Apple, their respective licensors, suppliers, distributors and affiliates, and each of their officers, directors, agents and employees from and against any liability, loss, damage, or expense (including reasonable attorneys' fees and costs) arising out of your use of the Application, your breach of this License Agreement or the Website Terms, or your violation of any right of any other person or entity, including but not limited to intellectual property or other proprietary rights.

  • General. You agree that this License Agreement and your use of the Application are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Each party irrevocably attorns and submits to the exclusive jurisdiction of the Ontario courts situated in the City of Toronto and waives objection to the venue of any proceeding in such court or that such court provides an inconvenient forum.

    With the prior agreement of Lowe's, any claim, dispute or controversy arising out of, relating to or concerning this Site and/or this agreement shall be decided by binding arbitration in accordance with the Rules of the American Arbitration Association and any such arbitration proceedings shall be brought and held in Toronto, Ontario, Canada. The decisions of the arbitrators shall be binding and conclusive upon all parties involved and judgment upon any award of the arbitrators may be entered by any court having competent jurisdiction. This provision shall be specifically enforceable in any court of competent jurisdiction.

    You agree that Lowe's may at any time and without notice change the terms, conditions and notices under which this Site is offered. You agree that no joint venture, partnership, employment or agency relationship exists between you and Lowe's as a result of this agreement or your use of this Site.

    Except for additional terms governing your use of specialized portions of the Site, such as contests and promotions, these Terms and Conditions and the Privacy and Security Statement constitute the entire agreement between you and Lowe's with respect to this Site. This agreement supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Lowe's with respect to this Site. No modification of this agreement shall be effective unless it is authored by Lowe's, or unless it is physically signed in blue ink by a Lowe's executive officer. Any alleged waiver of any breach of this agreement shall not be deemed to be a waiver of any future breach. A printed version of this agreement and/or of any notice given by Lowe's in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement or your use of this Site to the same extent and subject to the same conditions as other business documents and records originally generated and maintained by Lowe's in printed form.

Collection, Use and Disclosure of Personal Information

  • A. Collection Personal information is information that may identify you, such as your name, your home address, telephone number, date of birth, your personal e-mail address and purchasing preferences, among other things. Lowe's may collect personal information that you provide when you:

    • Purchase, rent, order, return or exchange any of our products and services;
    • Request a quote, product information or special order any of our products and services;
    • Request delivery, warranty or repair services;
    • Contact Lowe's Customer Service or the Store Manager in one or our stores;
    • Visit our website at www.lowes.ca;
    • Enter into a contest or respond to one of our surveys;
    • Make a credit application;
    • Apply for employment;
    • Provide us with comments or suggestions; or
    • Are injured, suffer or cause property damage on Lowe's premises. Lowe's may also collect information from public sources and from third-parties.

    Below you will find specific information about Lowe's collection practices in stores, over the telephone, online, and in connection with a Lowe's branded credit card and Lowe's accounts receivable ("LAR Account").

  • (1) Collection of Information in Stores or over the Telephone At the point-of-sale, you may be asked for your telephone number or postal code, if permitted by law. You may decline to provide this information. Lowe's collects your telephone number for the following purposes: to aid in returning a product without a receipt; to provide products, services and product information tailored to meet your needs; and to send free samples, special offers, manufacturer's rebates and invitations to workshops and clinics. Lowe's collects your postal code to understand what neighbourhoods Lowe's stores are serving and the purchasing interests of those neighbourhoods. This allows Lowe's to provide customers with a more personalized experience when visiting Lowe's stores.

    If you use a debit or credit card for any of your purchases, Lowe's collects your payment card-related information necessary to complete each transaction. In addition, Lowe's collects and retains information to comply with laws requiring Lowe's to retain financial records of its activities. The provider of your debit or credit card may also require that Lowe's retain this information in the event that you dispute an item or report your debit or credit card lost or stolen. Lowe's also collects this information so that it can process a request to return an item or to provide a refund or exchange. If you provide your personal information, Lowe's may retain a record of your purchases and other information such as product interests in order to assist in providing you with personalized services.

    If you return previously purchased merchandise or request a refund or exchange, you may be asked to give your name, address, and telephone number. Lowe's collects this information for loss prevention purposes, including the detection and prevention of fraud and theft. If you purchase or arrange for a delivery or an installation service, Lowe's will collect personal information from you to aid in providing these services. This information may include your name, address, personal e-mail address, telephone number(s) and shipping or installation information. Lowe's may also retain credit or debit card information in connection with any charges with respect to these services.

    If you rent a truck, Lowe's may request on its behalf or on behalf of the owner of the trucks, that you present additional personal information and identification, such as a driver's license and verification of age and insurance. This information is used to comply with obligations to the owner of the truck, determine eligibility for the truck rental service, comply with legal requirements, confirm the identity of the customers, and assist in retrieving vehicles in the event they are not returned by the customers.

    If you rent other tools and equipment, Lowe's may collect on its behalf or on behalf of the owner of the tools and equipment, additional personal information and identification.   • B. Other Uses of Personal Information In addition to the specific purposes described above, Lowe's may use personal information to:
